Breach of Contract
A breach of contract is a common cause of disputes. It occurs when one party fails to fulfill their obligations as outlined in the agreement. There are different types of breaches:
Material Breach: A significant failure to perform that results in the contract being irreparable. The non-breaching party can sue for damages.
Minor Breach: Also known as an immaterial breach, this does not fundamentally alter the contract’s core terms. The contract remains in effect, but the non-breaching party can still seek damages.
Breaches can involve complete non-performance, improper performance, or failure to perform on time. Legal actions for breaches include suing for damages and seeking enforcement of contract terms. Alternative dispute resolution methods like mediation and binding arbitration are often preferred to avoid litigation.
Contract Disputes Act of 1978
The Contract Disputes Act of 1978 established procedures for resolving government contract disputes, promoting fair and transparent resolutions. It mandates good faith negotiations and allows disputes to be challenged before the Board of Contract Appeals or U.S. Federal Claims Court. Appeals can be taken to the U.S. Federal Circuit Court of Appeals and the U.S. Supreme Court.
